Terms of Service for Ace Invoice

1. Parties & Acceptance

1.1 These Terms and Conditions (the "Agreement") govern your use of the Ace Invoice mobile application and associated APIs (the "App"). They form a binding contract between:

  • Ace Services Global Ltd. ("Ace Services", "Ace", "we", "our" or "us"), a company registered in England and Wales (no. 16447687) whose registered office is 1a Electric Parade, Seven Kings Road, Ilford, Essex, United Kingdom, IG3 8BY; and
  • You, the self-employed individual, partnership or incorporated entity that creates an account on the App (the "Provider", "you" or "your").

1.2 By registering or using the App, you confirm that you accept these Terms and agree to comply with them, alongside our Privacy Policy. If you do not agree, do not use the App.

1.3 These Terms are legally binding and include our Privacy Policy and any additional guidelines provided through the App.

2. Key Definitions

  • Customer: A person or business that you invoice through the App. Ace Services has no relationship with your Customers.
  • Invoice: A record you create through the App for services you have performed or agreed with a Customer, including job description, line items and amounts.
  • Payment Services: The invoicing and payment link feature within the App, enabling you to create invoices, mark them as paid in cash, and send Stripe-hosted payment links to your Customers.
  • Stripe: Stripe Technology Europe Ltd, an independent third-party payment processor through which all card and bank Payment Transactions are processed. Stripe Technology Europe Ltd is authorised by the Financial Conduct Authority under the Electronic Money Regulations 2011 (FRN: 900461). Stripe is not affiliated with Ace Services.
  • Stripe Connect Account: The Stripe account with full dashboard access connected to your Ace Invoice profile, through which you receive funds from Payment Transactions.
  • Payment Transaction: Any card or bank payment made by a Customer through a Stripe payment link generated via the Payment Services feature.
  • User Content: Any text, images or other materials you upload to the App.

3. Our Role

3.1 Ace Services provides invoicing software that lets you record jobs, create invoices and, optionally, take payment from your Customers through Stripe.

3.2 We do not provide services to your Customers, do not employ you, and are not a party to any agreement between you and your Customer (the "Service Contract").

3.3 We are not a payment institution and do not hold, process or transmit funds on your behalf.

Important: Any services you offer or perform for a Customer are governed by a separate legal agreement between you and the Customer (the "Service Contract"), to which Ace Services is not a party and holds no responsibility. If any issues arise in connection with your services, the Customer's legal rights and remedies will lie directly against you, the Provider, under the terms of your Service Contract.

4. Your Account & Declarations

By registering for an account, you confirm that:

4.1 You are at least 18 years old and legally able to form contracts.

4.2 You are self-employed or acting on behalf of a registered business.

4.3 You will use the App for business purposes only and follow all applicable laws and regulations.

4.4 You hold the necessary licences, permits, insurance, and qualifications to perform the services you invoice for.

4.5 All content and information you upload is accurate, current and legally permitted.

You must not:

4.6 Misrepresent your identity or credentials.

4.7 Copy or reverse-engineer any part of the App.

4.8 Introduce harmful code or violate the integrity of the system.

4.9 Attempt to register again if previously banned.

Account Registration & Responsibilities

4.10 To use the App, you must create a profile with accurate and complete information, including your name or business name. You must not provide false or misleading details, and you agree to keep your profile up to date.

4.11 Only one account per business is allowed. Duplicate or misleading accounts may be removed or suspended.

4.12 If you're creating an account on behalf of a company, you confirm that you are authorised to act for that company.

4.13 You may grant access to other authorised employees or agents under your account, but you are fully responsible for their actions.

4.14 If you suspect unauthorised access to your account, you must inform us immediately.

5. Payment Services

5.1 Nature of the Feature

Payment Services are provided as a convenience tool to help you invoice your customers and receive payments. Ace Services is not a payment institution, does not hold, process, or transmit funds on your behalf, and is not a party to any Payment Transaction between you and your customer. Your use of Payment Services does not create any financial services relationship between you and Ace Services. Ace Services acts solely as a technology platform enabling you to access Stripe's regulated payment services directly. Ace Services is not an agent, appointed representative, or intermediary of Stripe for the purposes of the Payment Services Regulations 2017 or any other financial services legislation.

5.2 Stripe as Independent Processor

All card and bank payments are processed exclusively by Stripe, an FCA-authorised electronic money institution (FRN: 900461). By connecting a Stripe Connect Account and using Payment Services, you agree to be bound by the Stripe Connected Account Agreement and all applicable Stripe policies (you should check Stripe's website for the most current version of these terms, as Stripe may update them from time to time). Ace Services has no control over and is not responsible for:

  • Stripe's decision to approve, restrict, or close your Stripe Connect Account;
  • the approval or withdrawal of any payment capability, including Pay by Bank;
  • payout timing, account holds, or fund reserves applied by Stripe;
  • any changes Stripe makes to its fees, terms, or supported payment methods.

5.3 Your Stripe Connect Account

You are solely responsible for:

  • completing Stripe onboarding accurately, truthfully, and in compliance with all applicable know-your-customer (KYC) and anti-money-laundering (AML) requirements;
  • maintaining your Stripe Connect Account in good standing and complying with Stripe's terms at all times;
  • ensuring your linked bank account details are correct;
  • any consequences arising from inaccurate information provided during Stripe onboarding.

Ace Services cannot access, hold, move, freeze, or refund funds in your Stripe Connect Account. Any query about funds in your Stripe account must be directed to Stripe.

5.4 Payout Timing

Ace Services makes no representation or warranty regarding the timing of payouts from your Stripe Connect Account. Stripe's standard payout schedules apply (currently subject to an extended holding period for first payouts) and may be changed by Stripe at any time without notice to Ace Services. Ace Services is not liable for any loss or inconvenience caused by payout delays, holds, or restrictions imposed by Stripe.

5.5 Disputes and Chargebacks

You are solely responsible for all payment disputes and chargebacks raised by your customers with their bank or card issuer. Ace Services has no involvement in dispute resolution and cannot submit evidence or take any action on your behalf. You must respond to any dispute directly through your Stripe dashboard by the deadline set by Stripe. Funds lost through disputes or chargebacks are your sole liability, and Ace Services has no obligation to compensate you for such losses.

5.6 Accurate and Lawful Invoicing

You must only issue invoices through Payment Services for genuine services actually performed or formally agreed with your customer. You must not use Payment Services to issue false, inflated, duplicate, or fraudulent invoices, or for any purpose that would constitute fraud, money laundering, or any other criminal offence. Any such misuse will result in immediate suspension of your account under Section 9 and may be reported to relevant authorities. You acknowledge that you have your own independent obligations under the Proceeds of Crime Act 2002 and the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 in connection with payments you receive through Payment Services, and that Ace Services is not responsible for your compliance with those obligations.

5.7 Ace's Commission

Ace Services charges no commission on Payment Transactions. Stripe's standard UK processing fees are charged directly to you by Stripe. Current rates are: 1.5% + 20p per card transaction; 0.5% + 20p (capped at £5) per Pay by Bank transaction. These rates are set by Stripe and may change without notice to Ace Services. Ace Services is not liable for any increase in Stripe's fees.

5.8 Invoice Limits

Ace Services may apply limits on the number and maximum value of Stripe payment links you can generate per day, based on your account tier. Current limits are displayed within the App. Ace Services reserves the right to change these limits at any time, including increasing limits for accounts in good standing or reducing limits where misuse is suspected.

5.9 Tax Obligations

You are solely responsible for accounting for and paying all taxes on income received through Payment Services, including VAT, income tax, and corporation tax where applicable. Ace Services does not provide tax advice, and nothing in these Terms should be construed as such. You should seek independent professional advice regarding your tax obligations.

5.10 Suspension of Payment Services

Ace Services may suspend your access to Payment Services, without prior notice, where we reasonably suspect misuse, fraudulent invoicing, or where Stripe requires it.

5.11 Complaints About Payments

Because all Payment Transactions are processed by Stripe as the FCA-authorised payment service provider, complaints relating to a Payment Transaction, your Stripe Connect Account, payout delays, or funds held by Stripe must be directed to Stripe directly through your Stripe dashboard or via stripe.com/gb/contact. As an FCA-authorised firm, Stripe is required to handle payment complaints within 15 business days of receipt (or 35 business days in exceptional circumstances). If you have a complaint about the Ace Invoice app itself — for example, an invoice failing to generate or a notification not arriving — please contact us at support@aceservices.app and we will respond within 5 business days.

6. Intellectual Property

6.1 We own all rights in the App.

6.2 You're granted a limited license to use the App while your account is active.

6.3 You grant Ace Services a royalty-free license to use your User Content for operation of the App.

7. Liability & Indemnity

7.1 You agree to fully indemnify Ace Services against any losses, damages, costs, or expenses we incur as a result of:

  • a breach by you of these Terms;
  • issues arising from your services to Customers;
  • claims that any content you provide (including uploads to the App) infringes third-party rights, including intellectual property; or
  • your use of Payment Services, including fraudulent or inaccurate invoicing, failure to comply with Stripe's terms, failure to respond to payment disputes, tax non-compliance, or any regulatory action arising from your Payment Transactions.

7.2 You release Ace Services from any claims, disputes, or damages — known or unknown — arising from your dealings with Customers. This does not affect any claims relating to Ace Services' failure to meet its own obligations under these Terms.

7.3 Subject to clause 7.5, Ace Services' maximum aggregate liability to you in any 12-month period is limited to the greater of £100 or any fees you have paid to Ace Services for use of the App during that period. Ace Services has no liability whatsoever in connection with Payment Transactions, Stripe Connect Account decisions, payout delays or holds, funds lost through payment disputes or chargebacks, or any other matter arising from your use of Payment Services or your relationship with Stripe. Nothing in this clause affects any statutory rights you may have against Stripe as your payment service provider under the Payment Services Regulations 2017 or any other applicable legislation.

7.4 Ace Services is not liable to you for:

  • lost profits or business;
  • reputational harm or lost opportunities;
  • liability owed by you to third parties (including Customers);
  • data loss or corruption;
  • any indirect, incidental, or consequential losses;
  • losses arising from Stripe account holds, restrictions, capability changes, or account closures;
  • funds lost through payment disputes, chargebacks, or fraud by your customers;
  • any loss caused by payout delays or changes to Stripe's fee structure or terms.

7.5 Nothing in these Terms limits or excludes liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation;
  • anything that cannot legally be excluded or limited under applicable law.

8. Data Protection

8.1 Comply with all applicable data laws and rights requests in respect of your Customers.

8.2 Where you enter your own customers' personal data into the Payment Services (for example, by creating invoices addressed to named individuals), you act as the data controller for that data and Ace Services acts as a data processor on your instructions. This relationship is governed by our Data Processing Agreement, which forms part of these Terms and is incorporated by reference. By enabling Payment Services you confirm that you have a lawful basis under UK GDPR to share your customers' personal data with Ace Services for the purpose of invoice generation and payment processing.

9. Suspension & Termination

9.1 Ace Services may suspend or terminate your account with immediate effect by giving notice if:

  • You breach your obligations under these Terms, especially around account accuracy or user conduct.
  • You upload illegal content or use the App for unlawful purposes.
  • You repeatedly misuse or violate the App's terms.
  • You are subject to an official investigation by a relevant authority (e.g. the Information Commissioner's Office or Trading Standards).
  • You use Payment Services to issue fraudulent, false, or inflated invoices, or in a manner that breaches Stripe's terms, applicable financial regulations, or anti-money-laundering laws.

9.2 You may delete your account at any time from within the App.

9.3 Termination of your Ace Invoice account does not affect any active Service Contracts you have with Customers — those remain your full responsibility.

10. Changes to Terms

We may update these Terms from time to time. We'll indicate changes by updating the "Last Updated" date at the top of the Terms. By continuing to use the App after changes are posted, you are deemed to accept the updated Terms. Please check them regularly to stay informed.

11. General Provisions

11.1 This Agreement is between you and Ace Services. No other party has the right to enforce or rely on any part of it.

11.2 We may transfer our rights and obligations under these Terms to another company. You agree in advance to such a transfer, including via novation if needed.

11.3 You may not assign, transfer, or subcontract your rights or obligations under this Agreement without our written consent. Any attempt to do so without consent will be void.

11.4 All formal notices under this Agreement must be in writing. You can contact us at legal@aceservices.app. We'll communicate with you via the email address linked to your account or through in-app messages.

11.5 Nothing in these Terms creates a partnership, joint venture, or employment relationship between you and Ace Services. You are acting as an independent contractor.

11.6 If any part of this Agreement is found to be invalid or unenforceable under applicable law, the rest of the Agreement will remain in full effect.

11.7 If we delay in enforcing any part of this Agreement, we still reserve the right to take action later.

11.8 These Terms (and any related non-contractual obligations) are governed by English law. The courts of England and Wales have exclusive jurisdiction, except where required otherwise by law.

11.9 By using the App, you consent to receive all communications from us electronically, either by email or through the App itself. These communications satisfy any legal requirement that they be in writing.
